Terms and Conditions
Last updated: November 5, 2026
Welcome to iNStep Consulting LLC ("iNStep," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our website and the services, resources, and materials we provide (together, the "Services"). By using our website or Services, you agree to these Terms. If you do not agree, please do not use them.
When we work with you under a signed proposal, statement of work, or service agreement (an "Agreement"), that Agreement governs the engagement. If an Agreement conflicts with these Terms, the Agreement controls. Our Privacy Policy explains how we collect and use personal information.
1. Our services
We provide:
- Leader Enablement: practical guidance, professional development, and individual coaching that help leaders solve problems, build alignment, and coordinate work.
- Training Development: custom eLearning, instructor-led training, and performance support that turn complex information into skills people apply on the job.
- Delivery Management: management of the schedules, people, deliverables, and decisions that bring training plans to life.
We also offer free resources on our website, such as the Project Health Check. The scope, timeline, and fees for each engagement are set out in the applicable Agreement.
2. Who can use our services
You must be at least 18 years old to use our Services. By engaging us, you confirm that you have the authority to enter into the engagement and, if you act on behalf of an organization, that you have permission to act for it.
3. Payments and refunds
- Payment terms: Fees, invoicing schedules, and due dates are set out in your Agreement. Unless your Agreement states otherwise, payment is due as stated on each invoice.
- Coaching: Coaching fees are not refunded for sessions that are missed or cancelled without the notice described in Section 8.
- Training Development and Delivery Management: Fees for work completed or in progress are not refundable. Changes to scope can be made by mutual written agreement.
4. Intellectual property
- Website content and free resources: All content on our website, including text, graphics, guides, templates, and downloadable resources, belongs to iNStep Consulting LLC. You may use our free resources for your personal or internal business use. You may not sell, redistribute, or republish them without our written permission.
- Training we develop for you to keep: When you engage us to develop training or materials that we hand over to you, including custom workshops designed for your own trainers or facilitators to deliver, you own the final deliverables once they are paid in full.
- Workshops and coaching we deliver: When we present or facilitate a workshop, including one customized for your organization, or provide coaching, the curriculum and materials remain the property of iNStep Consulting LLC. You may use any materials we provide to participants for your internal business use only.
- Our pre-existing work: In every engagement, we keep ownership of our pre-existing tools, methods, frameworks, templates, and know-how, and we may use them in other work.
- If your Agreement addresses ownership, the Agreement controls.
5. Your responsibilities
You agree to:
- Use our materials and training for their intended purpose.
- Keep confidential any proprietary or sensitive information shared during an engagement.
- Respect our intellectual property rights.
You may not:
- Share, sell, or redistribute program materials without our written permission.
- Use our website or Services for unlawful or harmful purposes.
- Attempt to access, alter, or misuse our systems, website, or data, including by sending automated or spam submissions through our forms.
6. Disclaimers and limitation of liability
- Our website content and free resources are for general information. They are not a substitute for advice tailored to your organization.
- Our Services are provided "as is," without warranties of any kind, express or implied. We do not guarantee specific outcomes, results, or performance.
- We are not liable for any indirect, incidental, or consequential damages arising from your use of our website or Services, including lost revenue, business disruption, or decisions made based on our training, coaching, or resources.
- You are responsible for how you implement the strategies and recommendations we provide.
7. Confidentiality
- Both parties agree to keep confidential any sensitive business or personal information shared during an engagement.
- Some engagements require a separate non-disclosure agreement (NDA) before work begins. If an NDA is signed, its terms govern confidentiality in addition to these Terms.
- We do not disclose or use proprietary client information for any purpose outside the scope of the agreed services.
8. Cancellations and rescheduling
- Coaching and live sessions: To avoid forfeiting a session, cancel or reschedule at least 24 hours in advance.
- Preparation work: Designing, developing, and preparing materials for a live session, such as facilitator guides, participant materials, and content tailored to your group, is billed separately from delivering the session. If a live session is cancelled or rescheduled, fees for preparation work already completed or in progress still apply, regardless of how much notice is given.
- Custom engagements: Cancellation terms for Training Development and Delivery Management engagements are set out in your Agreement.

Our website may link to other websites and uses third-party tools, such as scheduling and email services. We are not responsible for the content or practices of those websites and tools.
10. Changes to these Terms
We may update these Terms from time to time. When we do, we will post the revised version on this page with a new "Last updated" date, and we will notify current clients of significant changes by email. Your continued use of our website or Services after changes are posted means you accept the revised Terms.
